IR35 is a piece of tax legislation well known to contractors and people who run their own businesses. Its intention is to tax workers in what the Inland Revenue calls ‘disguised employment’ at a rate similar to what they’d be paying if they were employees, rather than the lower rates applied to limited companies and their suppliers. The target of IR35 is people who work for one company but receive payments through another – usually a company they own themselves.
If the Taxman decides that your particular business arrangement falls under IR35 guidelines, one major consequence is that you’ll pay a lot more tax and National Insurance than you do currently.
To determine which companies are legitimate ‘business entities’ and which are set up purely for the purposes of tax minimization, the Inland Revenue has a series of tests including:
